Job Description

The Legal Department of Natixis CIB Americas (“Legal Department”) provides a full range of transactional, regulatory and litigation services to our internal clients at CIB Americas. The Legal Department provides transactional support for all Global Markets (including derivatives) and Global Finance transactions for the CIB Americas platform. The Legal Department provides significant regulatory support for the front office, senior management and the compliance department ranging from bank regulatory matters (including the Volcker Rule and the Enhanced Prudential Standards) to Title VII support for the Natixis swap dealer (CFTC) and security-based swap dealer (SEC), and support for the broker dealer (SEC and FINRA). In addition, the Legal Department manages all litigation matters for the CIB Americas platform. The Legal Department serves a dynamic client base.

 The Paralegal/Confidentiality Agreement Negotiator position will provide general support for the Legal Department as part of the Business Management Team as more fully described below.

The paralegal/confidentiality agreement negotiator position will support to the Legal Department in the following roles:

  • Documentation: reviewing and/or providing support and advice in negotiating various documents, primarily NDAs, releases, access letters and note issuances. With regards to NDAs:
    • Managing and coordinating requests for NDAs review for the CIB Americas platform.
    • Preparing and negotiating NDAs and collaborating with various internal and external clients, including approvals on exceptions requested in the NDAs.
    • Responding promptly to and engaging internal and external clients regarding questions or status inquiries relating to NDAs.
    • Maintaining and updating various NDAs forms and guideline, including negotiating NDA templates.
    • Managing relationship with relevant external counsel, including responding to inquiries from external counsel with regards to exceptions and quarterly data quality checks.
    • Suggesting and implementing improvements to the NDAs process.
  • Project Management: Working collaboratively with the Legal Department team member to provide coordination support for certain new future projects.
  • Document Storage and Reporting: Coordinating with lawyers, Front Office and Middle Office to input documentation into the Legal SharePoint in a consistent manner. Providing and managing certain reporting internally.

Required Skills/Qualifications/Experience

  • Bachelor's degree
  • 2-5 years of experience
  • Solid verbal and interpersonal skills a must.
  • Skillful written communication is necessary; the ability to convey thoughts clearly and succinctly and to communicate pertinent complex information in a clear and organized manner;
  • Strong analytical and organizational skills;
  • The ability to manage multiple priorities, working under pressure to meet deadlines, and the ability to respond creatively and quickly in a fast-pace and changing environment;
  • Self-motivated with the ability to work independently while understanding when to involve other team members as needed and to work effectively in a team environment;
  • High degree of integrity and strong work ethic.
